BambooHR Integration Service - Terms and Conditions
These terms and conditions (“Terms”) govern the provision of the BambooHR integration service (“Service”) by Tribe (“we,” “us,” “our”) to you (“Customer,” “you,” “your”). The Service facilitates the integration of BambooHR with your designated payroll system to synchronize specific employee data and leave information as detailed below.
These Terms are supplemental to Tribe’s standard terms and conditions, which also apply.
1. Scope of Integration
The Service synchronizes key information between BambooHR and your designated payroll system as specified in the specific proposal document by us to you.
Additionally, the Service manages leave synchronization, including leave taken and accrual true-ups between BambooHR and the payroll system. The payroll system is deemed the source of truth for leave accruals unless otherwise agreed in writing.
The integration is limited to the data fields listed above. Any requests to synchronize additional fields or implement custom features require a separate agreement and may incur additional fees.
2. Implementation
The implementation fee covers services as described in the specific proposal document by us to you.
Any additions or deviations from the specified data fields are excluded from the implementation fee and are subject to separate terms and fees.
3. Ongoing Support
The ongoing support fee includes:
- Integration Platform: Access to the platform powering the integration.
- Platform Monitoring: Continuous oversight to ensure operational integrity.
- Error Alerting & Fixes: Detection, notification, and resolution of integration issues.
- Standard Business Hours Support: Assistance during regular New Zealand business hours.
Ongoing support extends to accommodating updates or changes to BambooHR or your designated payroll system that affect the integration. However, requests to sync additional fields or other information beyond the scope outlined in Section 1 are considered customizations and will incur additional fees.
Fixes, changes or any other work required due to changes caused by you to the data in either BambooHR or the payroll system may result in additional charges.
4. Limitations of Liability
We are not liable for interruptions, malfunctions, or terminations of the Service arising from:
- Changes, restrictions, or revocations of API access by BambooHR or your payroll system provider.
- Modifications to API fields or structures that impact the integration.
- Your failure to maintain necessary API permissions or access.
- Changes by you to the structure, nature or any other aspects of the data in either BambooHR or the payroll system that impact the ability of the integration to work as intended.
If API access is permanently withdrawn or altered by BambooHR or the payroll system provider in a way that renders the integration unfeasible, we reserve the right to cancel the Service upon notice to you. We will make reasonable efforts to inform you of such changes, but we cannot guarantee uninterrupted service in these circumstances.
While we strive to ensure the accuracy of synchronized data, we are not responsible for errors, omissions, or inaccuracies in the data provided by you or generated by BambooHR or the payroll system.
5. Data Privacy and Security
We process and protect all synchronized data in compliance with applicable data protection laws, implementing industry-standard security measures to safeguard against unauthorized access or breaches. You are responsible for ensuring the accuracy, legality, and currency of the data provided for synchronization. We are not liable for issues resulting from erroneous or non-compliant data supplied by you.
6. Termination
Either party may terminate these Terms by providing 60 days’ written notice. Upon termination, the Service will cease, and any outstanding payments will become due immediately. We may also terminate the Service without notice if API access is irrevocably altered or revoked, making the integration impossible.
7. Miscellaneous
- Amendments: Any changes to the integration scope, including the addition of new data fields, must be mutually agreed in writing and may incur additional costs.
- Supplemental Nature: These Terms supplement and are subject to Tribe’s standard terms and conditions.
